Software End User License Agreement
- Version
- 1.1
- Effective date
- July 16, 2026
This End User License Agreement (EULA) is a legally binding agreement between netQuery AI, Inc., a Delaware corporation (netQuery, we, us, or our), and the person or entity that installs, accesses, or uses the Software (you or Customer).
The Software includes the netQuery.ai desktop application, netQuery.ai Connect browser extension, local bridge, local HTTP and MCP interfaces, bundled components, updates, and documentation we provide. Online account, billing, licensing, and support services are also governed by the Terms of Use (Terms). Our Privacy Policy explains how personal information is handled.
By selecting the acceptance checkbox where presented, installing, activating, accessing, or using the Software, you accept this EULA. If you use the Software for an organization, you represent that you have authority to bind it, and you and Customer refer to that organization. If you do not agree, do not install or use the Software. You must be at least 18 years old and legally able to enter into this agreement.
1. License grant
Subject to this EULA, the Terms, the applicable order, and payment of all fees, netQuery grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable license during the subscription term to install and use the Software for Customer's internal business purposes.
The order and portal determine the applicable organization, plan, members, seats, devices, features, and subscription period. Entitlements may account for both member reservations and bound devices; a purchased seat is not necessarily limited to a one-user/one-device definition unless the order expressly says so. Customer may make a reasonable backup copy solely for recovery. Software is licensed, not sold. All rights not expressly granted are reserved.
2. Activation and continuing entitlement
Use of licensed features requires an authorized netQuery account, a valid organization entitlement, machine binding, and periodic online license validation. During activation and approximately every five minutes while the licensed application is running, the Software may send a signed license token and related account, organization, member, device-binding, hashed machine fingerprint, hostname, application version, platform, and heartbeat information to netQuery's licensing service.
The machine fingerprint is derived as a one-way hash from a platform device identifier. License state may be cached locally using operating-system-backed encryption. Access may be limited or disabled when a subscription or license is invalid, expired, canceled, revoked, unpaid, over its entitlement limits, or cannot be revalidated within any temporary grace made available by the Software. A grace period is not a perpetual offline license and may change with the service configuration.
Customer may not bypass, alter, forge, or interfere with activation, machine binding, license tokens, heartbeat validation, member/device limits, or other entitlement controls.
3. Permitted use and customer responsibilities
The Software helps authorized business users browse and analyze NetSuite data, create and run SuiteQL, use AI-assisted chat and agent workflows, export data, and use selected development, GitHub, SDF, search, and local integration tools. Some controlled features may support NetSuite write operations only when available, explicitly authorized, and permitted by Customer's environment and product safeguards.
Customer is responsible for:
- using only NetSuite accounts, tenants, roles, records, repositories, and other systems Customer is authorized to access;
- configuring least-privilege roles and respecting sandbox, production, approval, audit, and change-management requirements;
- securing credentials, recovery codes, devices, exports, local application data, and third-party API keys;
- deciding what information may be sent to a selected AI or integration provider;
- reviewing and testing queries, explanations, code, exports, AI output, and proposed actions before relying on or executing them;
- backing up important data and retaining source records needed to validate an analysis; and
- complying with applicable law, Oracle/NetSuite terms, AI-provider terms, and Customer's own policies.
The Software is not a substitute for professional accounting, tax, legal, security, or other advice. Customer remains responsible for decisions and for all actions it authorizes.
4. Local data, cloud services, and third-party transmissions
The Software is local-first for NetSuite analysis, but it is not entirely offline.
4.1 Data stored locally
Depending on the features used, the Software may store locally:
- an embedded NetSuite browser partition and cookies until Customer signs out or clears them;
- encrypted license and installation tokens, personal provider credentials, Tavily credentials, GitHub tokens, and organization team-key cache;
- schemas and caches, chats, prompts, attachments, account memory, saved queries, widgets, schedules, agent history, exports, logs, and managed Git workspaces; and
- application preferences and diagnostic information.
Sensitive local values use Electron safeStorage where implemented, which relies on operating-system-backed encryption. This does not make the device or all local files immune from compromise. Customer must secure its operating- system account and device.
Uninstalling the Software may leave application data behind. Customer should use available sign-out and deletion controls and, where needed, remove the application-data directory under its own retention and backup policy.
4.2 NetSuite and selected providers
NetSuite queries and results flow between the Software and Customer's Oracle NetSuite account. When Customer requests an AI-assisted operation, relevant prompts, chat history, attachments, query results, schemas, tool outputs, code, repository context, and instructions may be transmitted directly from the Software to the AI provider or compatible endpoint Customer configures. The provider processes that information under Customer's provider account and the provider's terms.
Optional GitHub and Tavily features transmit user-requested information to those services. Remote fonts and other third-party resources may also be requested by some interfaces. Customer can choose whether to configure optional providers and is responsible for their credentials and data-use settings.
4.3 netQuery cloud services
netQuery cloud services handle authentication, organizations and memberships, billing, subscriptions, license issuance and validation, device bindings, audit events, support, and organization-managed AI-provider configuration. Organization-managed provider credentials are stored encrypted in the portal's managed secret store and delivered only through authorized product paths. netQuery does not act as the inference provider merely because it operates the licensing and account services.
See the Privacy Policy for categories, purposes, recipients, retention, and privacy rights.
5. Restrictions
Customer must not, and must not permit another person to:
- sell, rent, lease, sublicense, distribute, publish, host, timeshare, or use the Software as a service bureau except as expressly authorized in writing;
- copy the Software except for a permitted backup, or modify, translate, adapt, or create derivative works from it;
- reverse engineer, decompile, disassemble, or seek source code or underlying algorithms, except to the limited extent applicable law prohibits this restriction;
- remove ownership, copyright, trademark, license, or security notices;
- bypass or interfere with authentication, signing, sandbox restrictions, write protections, rate limits, license validation, or security controls;
- use the Software to access data or systems without authorization, introduce malware, disrupt a service, or violate law or third-party rights;
- use the Software or output to develop or benchmark a competing product for public distribution without our written consent, except where that restriction is prohibited by law; or
- disclose or use private preview features contrary to written preview terms.
6. Ownership, feedback, and open-source components
netQuery and its licensors own the Software, documentation, designs, and all related intellectual-property rights. Customer owns its data and other content. No implied license is granted.
If Customer voluntarily provides feedback, Customer grants netQuery a worldwide, perpetual, irrevocable, royalty-free right to use it to improve and operate netQuery products, without identifying Customer publicly or disclosing Customer's confidential information.
The Software may include third-party or open-source components governed by their own license notices. Those licenses control only the applicable components and do not grant rights to netQuery's proprietary code.
7. Updates and release integrity
We may provide bug fixes, security updates, feature updates, and new versions. The Software may check the configured public release feed and download or prompt for an update. Customer should install security and compatibility updates promptly. An update may be required for continued support, compatibility, or license validation.
Official Windows customer releases are expected to carry the Authenticode publisher identity configured by netQuery. macOS customer releases will be made available only after applicable Developer ID signing and Apple notarization are validated. Customer should obtain installers only from a location published by netQuery and should not bypass operating-system signature warnings.
8. Support and maintenance
We provide commercially reasonable support through support@netquery.ai. Unless an order expressly states otherwise, no response time, resolution time, uptime, backward-compatibility period, or obligation to maintain a particular feature, provider, operating-system version, or third-party integration is guaranteed.
9. Term and termination
This EULA starts when Customer first accepts, installs, activates, accesses, or uses the Software and continues while Customer possesses or uses it. Licensed rights are limited to the applicable subscription period.
This EULA and the license may terminate or be suspended if Customer materially breaches this EULA or the Terms, fails to pay, loses its entitlement, creates a security or legal risk, or if continued provision is prohibited by law. Where reasonably practicable, we will give notice and an opportunity to cure a curable breach.
When the license ends, Customer must stop using and remove the affected Software. Termination does not itself delete Customer's local data or records that netQuery must retain for legitimate business or legal purposes. Sections that by their nature should survive will survive, including restrictions, ownership, disclaimers, liability limits, indemnity, disputes, and general terms.
10. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE, SERVICES, DOCUMENTATION, AND OUTPUTS ARE PROVIDED AS IS AND AS AVAILABLE. NETQUERY AND ITS SUPPLIERS DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
NETQUERY DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR COMPATIBLE WITH EVERY NETSUITE ACCOUNT, QUERY, PROVIDER, MODEL, PLATFORM, OR WORKFLOW. GENERATED OUTPUT MAY BE INCOMPLETE, INCORRECT, OR UNSUITABLE. CUSTOMER IS RESPONSIBLE FOR HUMAN REVIEW, TESTING, AUTHORIZATION, BACKUPS, AND USE OF OUTPUT.
Some jurisdictions do not allow certain disclaimers, so they apply only to the extent permitted by law.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY NOR ITS SUPPLIERS WILL BE LIABLE FOR LOST PROFITS, REVENUE, GOODWILL, BUSINESS OPPORTUNITY, OR DATA; COST OF SUBSTITUTE PRODUCTS OR SERVICES; OR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED THAT THEY ARE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NETQUERY'S AND ITS SUPPLIERS' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SOFTWARE, SERVICES, ORDERS, OR THIS EULA WILL NOT EXCEED THE GREATER OF (A) US$100 OR (B) THE FEES CUSTOMER PAID TO NETQUERY FOR THE SOFTWARE OR SERVICES GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT FIRST GIVING RISE TO LIABILITY.
These exclusions do not apply to liability that cannot lawfully be excluded or limited. Nothing limits Customer's payment obligations or either party's liability for fraud or willful misconduct to the extent such a limit is prohibited by law.
12. Indemnification
Customer will defend, indemnify, and hold harmless netQuery and its officers, directors, employees, and agents from third-party claims, damages, and reasonable costs arising from Customer's unlawful or unauthorized use, Customer's content, Customer's breach of Sections 3 or 5, or Customer's violation of a third party's rights. This obligation does not apply to the extent a claim was caused by netQuery's breach of this EULA. We will promptly notify Customer, provide reasonable cooperation at Customer's expense, and allow Customer to control the defense, provided Customer may not settle in a way that admits fault by or imposes an obligation on netQuery without our written consent.
13. Disputes and governing law
The informal-resolution, individual arbitration, jury-trial waiver, class-action waiver, 30-day arbitration opt-out, governing-law, and venue terms in Section 13 and Section 14 of the Terms are incorporated into this EULA. The Federal Arbitration Act governs the arbitration provision; otherwise Delaware law governs without regard to conflict-of-law rules. Any permitted court proceeding will be brought in the state or federal courts in Delaware, subject to non-waivable law.
14. General
This EULA, the Terms, the Privacy Policy, the applicable order, and incorporated notices are the entire agreement concerning the Software. If an order conflicts with this EULA, the order controls only for that order. Customer may not assign this EULA without our written consent, except with a merger or sale of substantially all assets if the assignee agrees in writing to be bound. We may assign it in connection with a reorganization, financing, merger, acquisition, or sale of assets. Failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be modified to the minimum extent necessary and the rest will remain effective. The parties are independent contractors. Electronic acceptance satisfies signature requirements to the extent permitted by law.
Customer must comply with applicable United States and other export-control and sanctions laws and must not provide the Software to a prohibited person or for a prohibited destination or end use.
We may update this EULA prospectively. We will post the updated version and effective date and provide notice of a material change where required by law. If a material change requires renewed acceptance, the Software or portal will present that requirement; this sentence does not itself create or claim an acceptance record.
