    Terms of Use

    Version
    1.0
    Effective date
    July 16, 2026

    These Terms of Use (the Terms) are a legally binding agreement between netQuery AI, Inc., a Delaware corporation (netQuery, we, us, or our), and the person or entity that accesses or uses the Services (you or Customer).

    These Terms govern the netquery.ai website, customer portal, cloud account, subscription, licensing, support, and related online services (collectively, the Services). The netQuery.ai desktop application, browser extension, local bridge components, and related software are also governed by the End User License Agreement (EULA). Our Privacy Policy explains how we handle personal information.

    By creating an account, placing an order, or accessing or using the Services, you accept these Terms. If you use the Services for an organization, you represent that you have authority to bind that organization, and you and Customer refer to that organization. If you do not agree, do not use the Services. You must be at least 18 years old and legally able to enter into this agreement.

    PLEASE READ SECTION 13 CAREFULLY. IT REQUIRES MOST DISPUTES TO BE RESOLVED BY INDIVIDUAL BINDING ARBITRATION, INCLUDES JURY-TRIAL AND CLASS-ACTION WAIVERS, AND GIVES YOU 30 DAYS TO OPT OUT OF ARBITRATION WITHOUT CHANGING THE REST OF THESE TERMS.

    1. The Services

    netQuery provides software and online services that help authorized business users work with Oracle NetSuite data, SuiteQL, analysis workflows, selected AI providers, and related development and operational tools. The Services include account and organization administration, subscription billing, member and device entitlements, software activation and license validation, organization- managed integration configuration, and support.

    The features available to Customer depend on the plan, order, software version, configuration, platform, and third-party accounts Customer selects. We may improve or change the Services over time. We will not use a material change to avoid obligations already owed for a paid subscription period.

    2. Accounts and organizations

    Customer must provide accurate account, organization, billing, and contact information and keep it current. Customer is responsible for:

    • maintaining the confidentiality of credentials, recovery codes, devices, and authentication methods;
    • activities performed through its accounts, except to the extent caused by netQuery's breach of these Terms;
    • assigning appropriate organization roles and promptly removing users who no longer need access; and
    • notifying support@netquery.ai promptly of suspected unauthorized access.

    Organization owners and administrators may invite or remove members, assign roles, configure organization integrations, and manage licenses. Their actions may affect other members of the organization. Customer is responsible for authorizing those administrators.

    Account deletion is currently handled through support. Some records may be retained after an account closes where required for billing, security, fraud prevention, dispute resolution, backup integrity, or compliance with law, as described in the Privacy Policy.

    3. Orders, subscriptions, and billing

    3.1 Orders and plans

    An order is the checkout confirmation, order form, or other purchase record that identifies the selected plan, billing interval, price, currency, and applicable limits. Prices displayed at checkout are in United States dollars unless stated otherwise. Customer authorizes netQuery and its payment processor, Stripe, to charge the selected payment method.

    3.2 Taxes and invoices

    Displayed prices exclude taxes unless the checkout expressly states otherwise. Customer is responsible for applicable sales, use, value-added, withholding, and similar taxes, excluding taxes based on netQuery's net income. Stripe may calculate, collect, and show taxes and tax identifiers based on the billing information provided. Customer is responsible for the accuracy of that information. Invoices and receipts are made available through Stripe or the customer portal.

    3.3 Automatic renewal

    Monthly and annual subscriptions automatically renew for successive periods of the same length unless canceled before the next renewal date. Customer authorizes recurring charges at the then-current price disclosed for the plan, plus applicable taxes. If we materially increase a recurring price, we will provide advance notice required by applicable law before the increase applies.

    3.4 Plan changes and cancellation

    An authenticated Customer manages an existing subscription, including available plan changes and cancellation, through the Stripe Customer Portal linked from the netQuery portal. Available changes depend on the Stripe configuration and the plan. Cancellation normally stops the next renewal and leaves paid access available through the end of the current billing period. Deleting the software or stopping use does not cancel a subscription.

    Except where an order states otherwise or applicable law requires it, amounts already charged are non-refundable and we do not provide prorated refunds for unused time. This does not limit any non-waivable statutory refund right.

    3.5 Failed payments and suspension

    If payment fails or a subscription is unpaid, past due, canceled, expired, refunded, disputed, or otherwise non-entitling, we may retry the charge, request an updated payment method, restrict features, suspend access, or terminate the subscription. Any temporary grace shown by the Services does not change the amount owed or guarantee future access.

    4. Permission to use the Services

    Subject to these Terms, the EULA, the applicable order, and payment of fees, we grant Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable right during the subscription term to access and use the Services for Customer's internal business purposes. Member, seat, device, organization, feature, and usage limits shown in the order or portal apply. Software is licensed, not sold.

    Customer must not, and must not permit another person to:

    1. sell, rent, lease, sublicense, distribute, or provide the Services as a service bureau, except as expressly authorized in writing;
    2. copy, modify, translate, reverse engineer, decompile, disassemble, or seek to derive source code, except where applicable law prohibits that restriction;
    3. bypass authentication, machine binding, license validation, rate limits, safety restrictions, or access controls;
    4. probe, scan, or test a vulnerability without our prior written authorization;
    5. upload malware, disrupt the Services, scrape them at unreasonable volume, or access another customer's account or data;
    6. use the Services in violation of law, sanctions, export controls, third-party rights, or the terms governing NetSuite or another connected service;
    7. use outputs without appropriate human review where an error could cause financial, legal, operational, security, or other material harm; or
    8. represent that output generated with the Services is guaranteed, audited, or endorsed by netQuery, Oracle, or an AI provider.

    5. Customer systems, data, and responsibilities

    Customer retains its rights in information, prompts, files, queries, schemas, code, instructions, and other content it provides or makes available through the Services (Customer Content). Customer grants netQuery a limited right to process Customer Content only as needed to provide, secure, support, and comply with law in relation to the Services.

    Customer represents that it has all rights, permissions, and lawful bases needed for Customer Content and its instructions. Customer is responsible for:

    • using an authorized NetSuite account, role, tenant, and environment;
    • observing its organization's access controls and change-management rules;
    • configuring and securing its AI-provider, NetSuite, GitHub, Tavily, and other third-party accounts;
    • deciding what context may be sent to a selected provider;
    • reviewing generated SuiteQL, explanations, code, exports, and agent actions;
    • backing up important local data and exports; and
    • authorizing any write or production action that the product and Customer's policies permit.

    The product is local-first for NetSuite analysis, but it is not entirely offline. Account, organization, billing, licensing, team configuration, diagnostics, and support functions use netQuery cloud services. When Customer selects an AI or optional integration, relevant prompts, history, attachments, query results, tool output, code, or other context may be transmitted directly to that third party under Customer's account and that party's terms. The Privacy Policy provides more detail.

    6. Third-party services

    The Services interoperate with third-party products, including Stripe, Supabase, Oracle NetSuite, AI providers, GitHub, Tavily, and other services selected by Customer. Third-party services are governed by their own terms and privacy practices. We do not control and are not responsible for their content, availability, security, model behavior, or changes. A third party's failure may limit a related feature without making netQuery responsible for that third party.

    7. Ownership and feedback

    netQuery and its licensors own the Services, software, documentation, designs, and all related intellectual-property rights, excluding Customer Content and third-party materials. No right is granted except as expressly stated.

    If Customer voluntarily provides feedback, Customer grants netQuery a worldwide, perpetual, irrevocable, royalty-free right to use that feedback to improve and operate its products, without identifying Customer publicly or disclosing Customer's confidential information.

    8. Support, security, and availability

    We provide commercially reasonable support through support@netquery.ai. Unless an order expressly includes a service-level commitment, no response time, resolution time, uptime, or maintenance window is guaranteed.

    Customer must use reasonable security measures and promptly install security updates. We use safeguards designed to protect the Services, but no system is completely secure or continuously available. Planned maintenance, emergency maintenance, third-party outages, internet failures, and events beyond our reasonable control may affect availability.

    9. Suspension and termination

    Customer may stop using the Services at any time and may cancel renewal as described in Section 3.4. We may suspend or terminate access if Customer materially breaches these Terms or the EULA, fails to pay, creates a security or legal risk, uses the Services unlawfully, or if continued provision is prohibited by law. Where reasonably practicable, we will provide notice and an opportunity to cure a curable breach.

    On expiration or termination, the license and access rights end. Customer must stop using affected software and Services. Sections that by their nature should survive will survive, including payment obligations, restrictions, ownership, warranty disclaimers, liability limits, indemnity, disputes, and general terms.

    10. Disclaimers

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, SOFTWARE, DOCUMENTATION, AND OUTPUTS ARE PROVIDED AS IS AND AS AVAILABLE. NETQUERY AND ITS SUPPLIERS DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

    NETQUERY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR COMPATIBLE WITH EVERY NETSUITE ACCOUNT, QUERY, PROVIDER, MODEL, ENVIRONMENT, OR WORKFLOW. AI-GENERATED AND MACHINE-GENERATED OUTPUT MAY BE INCOMPLETE, INCORRECT, OR UNSUITABLE. THE SERVICES DO NOT PROVIDE LEGAL, TAX, ACCOUNTING, INVESTMENT, OR OTHER PROFESSIONAL ADVICE. CUSTOMER IS RESPONSIBLE FOR HUMAN REVIEW, TESTING, AUTHORIZATION, AND USE OF OUTPUT.

    Some jurisdictions do not allow certain disclaimers, so the disclaimers apply only to the extent permitted by law.

    11. Limitation of liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY NOR ITS SUPPLIERS WILL BE LIABLE FOR LOST PROFITS, REVENUE, GOODWILL, BUSINESS OPPORTUNITY, OR DATA; COST OF SUBSTITUTE SERVICES; OR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED THAT THEY ARE POSSIBLE.

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, NETQUERY'S AND ITS SUPPLIERS' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES, SOFTWARE, ORDERS, OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) US$100 OR (B) THE FEES CUSTOMER PAID TO NETQUERY FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT FIRST GIVING RISE TO LIABILITY.

    These exclusions do not apply to liability that cannot lawfully be excluded or limited. Nothing in these Terms limits Customer's payment obligations or either party's liability for fraud or willful misconduct to the extent such a limit is prohibited by law.

    12. Indemnification

    Customer will defend, indemnify, and hold harmless netQuery and its officers, directors, employees, and agents from third-party claims, damages, and reasonable costs arising from Customer Content, Customer's unlawful or unauthorized use, Customer's breach of Sections 4 or 5, or Customer's violation of a third party's rights. This obligation does not apply to the extent a claim was caused by netQuery's breach of these Terms. We will promptly notify Customer, provide reasonable cooperation at Customer's expense, and allow Customer to control the defense, provided Customer may not settle a claim in a way that admits fault by or imposes an obligation on netQuery without our written consent.

    13. Dispute resolution and arbitration

    PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES MOST DISPUTES TO BE RESOLVED BY INDIVIDUAL BINDING ARBITRATION AND INCLUDES A JURY-TRIAL AND CLASS-ACTION WAIVER.

    13.1 Informal resolution

    Before filing a claim, the initiating party must send a written notice describing the dispute and requested relief. Notices to netQuery must be sent to support@netquery.ai or to the address in Section 17. The parties will attempt in good faith to resolve the dispute for 45 days after receipt. This requirement does not prevent either party from seeking urgent temporary relief to protect intellectual property, confidential information, or system security.

    13.2 Binding individual arbitration

    Except for an eligible individual small-claims action or a request for equitable relief concerning intellectual-property infringement or misuse, a dispute arising from these Terms, an order, the Services, or the software will be resolved by binding individual arbitration administered by JAMS under the rules applicable to the claim. The Federal Arbitration Act governs this arbitration provision. Unless the parties agree otherwise, the hearing will occur remotely or in the county where the claimant resides. The arbitrator may award the same individual remedies a court could award and will issue a reasoned written decision. Judgment on the award may be entered in a court with jurisdiction.

    13.3 No class proceedings; jury waiver

    EACH PARTY MAY BRING A CLAIM ONLY IN ITS INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, REPRESENTATIVE, CONSOLIDATED, OR MASS PROCEEDING. TO THE EXTENT PERMITTED BY LAW, EACH PARTY WAIVES A JURY TRIAL. If a court finally determines that this waiver is unenforceable for a particular claim or remedy, only that claim or remedy will proceed in court and the rest will remain subject to arbitration.

    13.4 Thirty-day opt out

    Customer may opt out of this arbitration agreement by sending a clear written notice with Customer's name, account email, and mailing address to support@netquery.ai or the address in Section 17 within 30 days after Customer first becomes subject to it. Opting out affects only this arbitration agreement and does not change the rest of these Terms.

    14. Governing law

    Delaware law governs these Terms without regard to conflict-of-law rules, except that the Federal Arbitration Act governs Section 13. If a dispute is permitted to proceed in court, the parties consent to the state and federal courts located in Delaware, subject to any non-waivable right to bring a claim elsewhere.

    15. Changes to these Terms

    We may update these Terms. We will post the updated version and effective date. For a material change, we will provide reasonable advance notice through the Services or by email when required by law. Changes apply prospectively from their effective date. Continued use after that date constitutes acceptance where permitted by law. A materially changed EULA may require a separate software acceptance if we implement that requirement.

    16. General

    These Terms, the EULA, the Privacy Policy, the applicable order, and any terms expressly incorporated into them are the entire agreement concerning their subject matter. If an order conflicts with these Terms, the order controls only for that order. Customer may not assign this agreement without our written consent, except in connection with a merger or sale of substantially all of its assets if the assignee agrees in writing to be bound. We may assign it in connection with a reorganization, financing, merger, acquisition, or sale of assets. Failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be modified to the minimum extent necessary and the rest will remain effective. The parties are independent contractors. Headings are for convenience. Electronic communications and signatures satisfy written-form requirements to the extent permitted by law.

    Customer must comply with applicable United States and other export-control and sanctions laws and must not provide the Services to a prohibited person or in a prohibited destination or end use.
